AgriS (SBT) Successfully Holds 2024-2025 Annual General Meeting of Shareholders

On December 6th in Tay Ninh, Thanh Thanh Cong - Bien Hoa Joint Stock Company (AgriS, HOSE: SBT) successfully held its Annual General Meeting of Shareholders for the 2024-2025 fiscal year. The meeting saw unanimous approval of all proposals, with a highlight being the adoption of a growth strategy for the 2025–2030 period.

AgriS Sustains Steady Growth with Dividend Plan and 2025-2026 Business Strategy

At the Annual General Meeting (AGM), AgriS’s management reported on the 2024-2025 fiscal year’s performance. The company recorded cumulative net revenue of nearly VND 28.5 trillion, exceeding the target by 9%, with a compound annual growth rate (CAGR) of 18% from 2020 to 2025. Pre-tax profit reached VND 950 billion, up 5% year-on-year and surpassing the annual plan by 6%. Post-tax profit stood at VND 834 billion, a 4% increase from the previous year. Sugar sales volume exceeded 1 million tons, maintaining a 46% market share. SBT shares saw remarkable growth, reaching VND 26,900 per share (as of October 13), a 150% surge since the start of the 2024-2025 fiscal year, marking an 8-year high with a market capitalization of nearly VND 22 trillion.

For the 2025-2026 fiscal year, AgriS aims to maintain its sugar market leadership, expand into the Food, Beverage, Milk, and Confectionery (FBMC) sector, and enhance cost control and operational efficiency. The company targets net revenue of VND 26.5 trillion and pre-tax profit of VND 951 billion, consistent with the previous year’s performance.

Based on the achieved results, the AGM approved the 2024-2025 profit distribution plan, including a 6% stock dividend from undistributed 2024-2025 post-tax profits, totaling over VND 513 billion.

The plan to issue convertible bonds to existing shareholders, valued at nearly VND 1 trillion, was also approved. The bonds offer a fixed interest rate of 9.5% per annum with a 2-year term. Conversion to common shares will occur in two phases: (1) 30% of the successfully issued bonds will convert one year after issuance, and (2) the remaining bonds will convert at maturity. The proceeds will strengthen financial resources, optimize capital structure, and reduce financing costs, enhancing market adaptability. Convertible bonds are deemed an effective tool for securing medium to long-term funding and bolstering financial stability for future expansion projects.

Other proposals, including auditor selection for the 2025-2026 financial report, production and profit distribution plans, board remuneration, and bond listing, were also approved by shareholders.

This year’s AGM marks the beginning of the 2025-2030 breakthrough strategy. The leadership presented the comprehensive strategic direction, receiving strong shareholder approval, underscoring confidence in the company’s new growth phase. Moving forward, AgriS will develop under the Circular Commercial Value Chain model, focusing on five strategic pillars: (1) A 3-Center, 3-Service, 1-Multinational Governance System organizational model; (2) Multidimensional international trade and investment cooperation; (3) Sustainable development and ESG commitments; (4) Building a high-caliber workforce for international trade and markets; (5) Achieving a USD 2.7 billion market capitalization by 2030.

AgriS is executing plans to raise capital and IPO key ecosystem subsidiaries while seeking strategic investor partnerships. Priority will be given to partners contributing to market expansion, product development, and technology transfer. These collaborations are expected to create synergies and drive ecosystem growth.

Additionally, AgriS is restructuring its investment portfolio, focusing on core agricultural value chain areas. The AGM highlighted international expansion efforts, notably an M&A deal with a leading Australian agronomy consulting firm, offering 15 years of data, expert agronomists, and a key Asia-Pacific customer network. This acquisition will enhance AgriS’s high-tech application, expand agricultural services, develop digital agriculture platforms, and promote R&D training, ensuring regional food security.

In diversifying crop products, AgriS is partnering with a major conglomerate to enhance rice production, focusing on yield, quality, and value for domestic and export markets.
