**Chairman of Victory Capital Latest in String of Board Member Resignations**

Mr. Nguyen Tan Thu has recently resigned from his positions as Chairman of the Board of Directors and as a member of the Board of Directors of Victory Capital, effective April 22, 2024, due to personal reasons.

Mr. Thu was born in 1981 and has been appointed as the Chairman of the Board of Directors of Victory Capital Joint Stock Company (HOSE: PTL) since mid-2021. By the end of 2023, in addition to PTL, Mr. Thu has and is holding many important positions in other companies. These include: General Director of Phuong Nam Real Estate Services and Investment JSC, Chairman of the Board of Directors of Linkgroup, Chairman of the Board of Directors of Victoria Capital (Australian investment fund) since July 2019; Chairman of the Board of Directors of Petroland since May 2021; Head of Finance of Vingroup Corporation during the period 2014-2019, …

In 2021, Phuong Nam Real Estate Joint Stock Company acquired and held 11.22% of PTL‘s capital, but this reduced to 5.29% at the end of 2022. Mr. Thu also registered to purchase up to 10 million shares of PTL in early 2022 (equivalent to 10%), but this was unsuccessful and now he only holds 0.032%.

In 2022, Mr. Thu said that PTL is planning to grow at an average rate of 200% per year in terms of revenue and profit before tax, with priority given to the commercial real estate and urban areas. The former Chairman was then ambitious to bring PTL to a capitalization of one billion USD in 2023 and 5 billion USD in 2030.

In addition to Mr. Thu, in late 2023 and early 2024, PTL received resignations from 3 other members of the Board of Directors, including Mr. David Maurice Jackson, Mr. Rainer Frey and Mr. Le Van Vu, all for personal reasons. Mr. Jackson also ceased to be a Member of the Audit Committee from 28/02 and was replaced by Mr. Do Thai Danh (born in 1987).

Since 2021, Mr. Jackson and Mr. Frey have been responsible for finding project supply sources, introducing development projects to the Company; consulting on real estate investment, project vision, and finding investment supply sources for PTL.

In early April, PTL continued to receive the resignation of member of the Board of Directors Mr. Phan Anh Quan (born in 2000) after being appointed less than 2 months ago.

Mr. Quan, Mr. Danh and Mr. Le Hao (born in 1978) were elected as members of the Board of Directors from 22/02/2024 to replace the positions of Mr. Vu, Mr. Frey and Mr. Jackson. Mr. Vu was also dismissed from the position of General Director at the end of November 2023.

On April 17, major shareholder Do Thi Hien (owning 23.96%) nominated Mr. Nguyen Huynh Nguyen Chuong as a member of the Board of Directors to replace Mr. Quan. Mr. Chuong currently holds no position at PTL.

According to the nomination information, Mr. Chuong is a civil engineering engineer, currently working as a quantity surveyor at the Yasuda – Kolon Joint Venture. Previously, Mr. Chuong worked as a quantity surveyor and design engineer at the Construction Engineering Development Joint Stock Company.

Not only that, the Board of Directors of PTL has also undergone continuous changes in the past several years. Since 2021, PTL has changed its General Director position as many as 5 times. On 10/06/2021, the Board of Directors appointed Mr. Nguyen Phu Hung as the General Director, replacing Mr. Nguyen Quang Hung.

On 28/03/2022, Mr. Nguyen Thanh Tuan was appointed to replace Mr. Nguyen Phu Hung. On 27/03/2023, Ms. Ngo Viet Ngoc Thanh was appointed to replace Mr. Nguyen Thanh Tuan. On 04/05/2023, Mr. Le Van Vu replaced Ms. Thanh as General Director and held the position until November 27.
