
At the Annual General Meeting of Shareholders (AGM) of Gelex Group (stock code: GEX) held on the morning of March 27, the shareholders approved the dismissal of Mr. Nguyễn Văn Tuấn from the position of member of the Board of Directors (BOD), according to his resignation letter dated March 3, 2025. The meeting also elected Ms. Nguyễn Thị Minh Giang as a new member of the BOD for the term 2021-2026.
Notably, despite stepping down from the BOD, Mr. Nguyễn Văn Tuấn will continue to hold the position of General Director of Gelex.
Addressing a shareholder’s query on the reason for his resignation from the BOD while retaining the role of General Director and being the largest shareholder, along with related parties holding nearly 27% of the shares, Mr. Tuấn provided candid insights.
He highlighted that Gelex has been committed to transparency and effective governance for many years. He emphasized the establishment of a well-structured management system across the Group and its subsidiaries, coupled with a robust risk management framework.
Mr. Tuấn cited his previous withdrawal from leadership positions at subsidiaries such as Cadivi and Gelex Energy (GEE), followed by their improved profit growth.
Providing further rationale, Mr. Tuấn mentioned that in international businesses, major shareholders typically refrain from directly joining the BOD or executive team, even though such involvement offers certain benefits. He believes that a supervisory role for large shareholders, rather than direct management, is optimal when the company boasts robust systems in information technology, internal audit, and oversight, among others.
Mr. Tuấn affirmed Gelex’s focus on strengthening its systems through investments in information technology and digital transformation, recruiting capable independent BOD members, enhancing internal audit functions, investing in human resources, and fostering the development of its subsidiaries.
“I believe that my participation in the executive team without being on the BOD is a positive step, and even when I’m no longer part of the management team, we will find suitable individuals to lead the Group.” – Mr. Nguyá»…n Văn Tuấn stated.
Mr. Tuấn asserted, “As the largest shareholder, I have the most at stake, and when I’m no longer part of the executive team, I, like all of you, will oversee the BOD and the management team to ensure their effective performance.”
