Novaland Group, a leading real estate investment corporation in Vietnam, has recently disclosed reports on insider trading activities and transactions made by related persons.

On May 30, 2025, Diamond Properties, a company managed by Novaland’s Chairman, Mr. Bui Thanh Nhon, successfully sold over 2.32 million NVL shares.

Prior to this transaction, Diamond Properties held more than 168.66 million NVL shares, representing an ownership stake of 8.649%. Following the sale, their shareholding decreased to over 165.43 million shares, equivalent to an ownership percentage of 8.483%.

In the same trading session, Mrs. Cao Thi Ngoc Suong, the wife of Chairman Bui Thanh Nhon, also sold 221,133 NVL shares.

As a result, Mrs. Suong’s ownership decreased from over 50.75 million shares to nearly 50.53 million shares, causing her ownership percentage to drop from 2.602% to 2.591%.

In total, the two shareholders related to Chairman Bui Thanh Nhon sold more than 3.45 million NVL shares.

In other news, Novaland recently announced its resolution to implement an ESOP (Employee Stock Ownership Plan) share issuance program, offering both bonus shares and a share purchase option to its employees.

Specifically, NVL plans to issue 48.75 million bonus shares from its surplus capital and an additional 48.75 million shares at a price of VND 10,000 per share.

The total issuance volume is expected to be over 97.5 million shares, representing 5% of the total outstanding shares. The issuance is scheduled for the second and third quarters of 2025, following the approval of the State Securities Commission of Vietnam.

The shares issued under this program will be restricted from transfer for one year. Any unallocated shares will be offered to other eligible employees.

Post-issuance, Novaland’s chartered capital is expected to increase to VND 20,476 billion. The proceeds from this offering will be utilized to support the company’s business activities and working capital needs.

According to Novaland, the purpose of this program is to recognize the contributions of its leaders during the company’s operation and to attract and retain talented personnel.

Novaland also disclosed a list of 25 leaders and officers who are eligible to receive and purchase shares under this ESOP program. Among them, General Director Duong Van Bac will receive and purchase the highest number of shares, totaling 8.91 million.

The two deputy general directors, Cao Tran Duy Nam and Tran Thi Thanh Van, will each receive and purchase a total of 5.64 million shares.

Mr. Bui Dat Chuong, the brother of Chairman Bui Thanh Nhon and a manager of NVL’s subsidiary, is eligible to receive and purchase a total of over 3.2 million shares.
