Prosecution of Tân Tân Peanut Company Owners Continues: Brothers Charged with Tax Evasion and Contempt of Court

Today (Feb 7), sources revealed that the Dĩ An City Police Investigative Agency, Bình Dương Province, has initiated legal proceedings against Ms. Châu Ngọc Phụng (born 1971, residing in Ho Chi Minh City) for contempt of court.

Ms. Phụng is the wife of Mr. Trần Quốc Tân, the director of Tân Tân Joint Stock Company, who was previously indicted on charges of tax evasion and contempt of court.

This development stems from an ongoing investigation into Tân Tân Joint Stock Company, following a request by the Dĩ An City People’s Court in late 2024.

Previously, the Dĩ An City People’s Court had scheduled a criminal trial for “Contempt of Court” and “Tax Evasion,” which was postponed twice.

The defendants, Mr. Trần Quốc Tân (born 1963, director of Tân Tân Joint Stock Company) and his brother, Mr. Trần Quốc Tuấn (born 1968, a member of the Board of Directors), faced charges.

Mr. Tân was indicted by the Dĩ An City People’s Procuracy for “Contempt of Court” and “Tax Evasion,” while Mr. Tuấn was charged with “Contempt of Court.”

During the trial, Mr. Tân admitted that he founded Tân Tân Joint Stock Company in 2007 and held 80% of the company’s shares. His brother, Mr. Tuấn, and his wife, Ms. Châu Thị Phụng, each owned 10%. Mr. Tân asserted that he single-handedly managed and directed all company operations.

On July 5, 2011, Mr. Tân entered into a contract to transfer 3.6 million of his personal shares to Ms. Nguyễn Thị Thanh (62 years old, from Ho Chi Minh City) for a value of 36.6 billion VND. Tân Tân Company provided a certificate of ownership for 45.83% of the shares to Ms. Thanh. However, the company subsequently failed to provide information about its business activities, financial reports, or assessments of its performance, prompting Ms. Thanh to file a lawsuit with the Bình Dương Province People’s Court.

The court ruled in favor of Ms. Thanh, ordering the members of the Board of Directors of Tân Tân Company to convene an extraordinary general meeting of shareholders to elect a new board in accordance with legal regulations. The company was also required to grant Ms. Thanh access to its books, minutes, resolutions, and financial reports. However, the defendants failed to comply with the court’s decision.

Mr. Tân justified his non-compliance by claiming that the contract with Ms. Thanh was a simulated agreement to resolve a borrowing issue and not a genuine share transfer. As a result of Ms. Thanh’s lawsuit, he felt “annoyed” and refused to provide company documents or convene a shareholders’ meeting. He also filed complaints against the decisions of the authorities.

Many related issues remained unresolved during the trial. After deliberating, the judge decided to return the case for further investigation, requesting clarification on several points, including the role of Ms. Châu Ngọc Phụng as an accomplice in the contempt of the Bình Dương Province People’s Court ruling.
