A Leading Shareholder: R&H Group’s Significant Stake in Duoc Nam Ha

The 2023 audited financial report of the Joint Stock Company for Pharmaceuticals of Nam Ha revealed familiar names among its major shareholders. The list includes the well-known R&H Corporation Joint Stock Company and Ms. Pham Thi Hanh, the former Chairwoman of the R&H Group's Board of Directors.

In addition to his other ventures, Mr. Nguyen Ho Nam is also a major shareholder in Duoc Nam Ha. Along with his wife, Mrs. Hanh, and the R&H Group, Mr. Nam has been a significant shareholder in the company since 2022. Mrs. Hanh also currently serves as a member of Duoc Nam Ha’s board of directors.

The exact ownership percentage has not been disclosed. However, towards the end of 2022, the R&H Group used 1,820,000 shares of Duoc Nam Ha, equivalent to 35% of the company’s charter capital, as collateral for a loan from the Vietnam Joint Stock Commercial Bank – Ho Chi Minh City Branch 4.

Prior to his involvement with Duoc Nam Ha, Mr. Nam had already invested in another pharmaceutical company, Tipharco Pharmaceuticals JSC (DTG), holding 24.86% of its shares. Additionally, Bamboo Capital owns 21.01% of Tipharco.

The R&H Group also holds a majority stake in another company, Vinahud Urban and Housing Development Investment JSC (VHD). The group’s founder and chairman, Mr. Truong Quang Minh, also serves as the chairman of Vinahud. Mr. Nguyen Dinh Ngon holds 24% of VHD’s shares, Mr. Nam owns 22.8%, Mrs. Pham Thi Hanh holds 2.27%, Mr. Minh owns 4.51%, and BCG Land has a stake of 1.2%.

 According to information from HNX, from September to December 2021, R&H Group successfully issued seven bond lots with a total value of nearly VND 8,151 billion. Currently, only two lots with a value of VND 5,000 billion are still in circulation, while the rest have matured or been repurchased.

Notably, Tien Phong Securities Joint Stock Company (TPS) provided support for R&H Group’s bond lots in 2021. The securities company assumed multiple roles, including consulting, issuing, registration, payment, and transfer agent, as well as bondholder representative.

Duoc Nam Ha Pharmaceutical Joint Stock Company was established in 1960 and is one of the leading companies in Vietnam specializing in the production, trading, import, and export of medicines, health supplements, cosmetics, and medical equipment. With over 60 years of experience, Duoc Nam Ha has built a reputable brand with more than 200 pharmaceutical and herbal medicine products in various formulations distributed nationwide. Their flagship product is the Bo Phe Nam Ha line.

In terms of financial performance, Duoc Nam Ha reported a slight decline in revenue and a significant drop in profit for 2023. The company’s revenue reached VND 991 billion, a 1% decrease from the previous year, while its after-tax profit was nearly VND 40 billion, a 54% decrease compared to 2022.

As of December 31, 2023, Duoc Nam Ha’s total assets were valued at VND 914 billion, with liabilities amounting to VND 542 billion, including loans totaling VND 303 billion.
