Sunshine Group Initiates Plan to Transform SCG into a Subsidiary

The Hanoi Stock Exchange (HNX)-listed Sunshine Group Joint Stock Company (KSF) has set its sights on acquiring over 1.9 million shares of the Construction Group Joint Stock Company (SCG), equating to 2.25% of the company's capital. This strategic move is in line with KSF's previously announced plans to solidify its position as a majority shareholder and transform SCG into a subsidiary.

The transaction is expected to take place between September 4th and October 3rd. Based on the closing price of VND 63,200/share on August 29th, the estimated deal size is approximately VND 120 billion.

Currently, Sunshine Group and SCG share the same major shareholder, management, and related persons. Notably, Mr. Do Anh Tuan – Vice Chairman of the Board of Directors and major shareholder of SCG – is the Chairman of the Board, legal representative, and major shareholder of Sunshine Group; Mr. Do Van Truong – Chairman of the Board of Directors, legal representative, and major shareholder of SCG – is a member of the Board of Directors of Sunshine Group and the younger brother of Mr. Do Anh Tuan.

Mr. Do Anh Tuan and Mr. Do Van Truong were also the founders of SCG in 2019 with an initial charter capital of only VND 100 billion. Today, the two companies have a close relationship, with most of SCG‘s projects originating from Sunshine Group, including Sunshine Crystal River, Sunshine Golden River, and Sunshine Diamond River, with investment sizes ranging in the tens of thousands of billions of VND.

Recently, the 2025 Annual General Meeting of Shareholders of SCG approved the transfer of more than half of SCG‘s shares to Sunshine Group without having to conduct a public offering. The list of transferring shareholders included 13 individuals holding a total of nearly 45.2 million SCG shares, equivalent to 53.13% of the charter capital. Among them were Mr. Tuan and Mr. Truong.

After the completion of these transactions, Sunshine Group is expected to become the parent company of SCG and its sole major shareholder with a 53.13% ownership stake.

At the meeting, Chairman Do Van Truong stated that the combination with Sunshine Group would create significant opportunities for SCG to have sustainable operations and strong development in the coming time.

According to SCG‘s 2025 Financial Statements, becoming a member unit and taking on the role of the main contractor for Sunshine Group’s projects is a critical strategy for the company in 2025.

In terms of business plans, SCG expects to achieve a total revenue of VND 12 trillion and a pre-tax profit of VND 700 billion, which is four times and three times the performance of 2024, respectively.

In the first half of 2025, SCG recorded nearly VND 2.2 trillion in total revenue, up 136% over the same period last year, and a pre-tax profit of nearly VND 132 billion, up 32%. With these results, the company has achieved 18% and 19% of its annual plans, respectively.
