Duc Thanh Wood Fined Over VND 200 Million for Securities Violations

Due to delayed disclosures and violations of regulations regarding transactions with shareholders and insiders, Gỗ Đức Thành has been fined 202.5 million VND by the State Securities Commission of Vietnam (SSC).

Recently, the State Securities Commission (SSC) issued Decision No. 269/QĐ-XPHC regarding administrative penalties for violations in the securities and stock market sector against Duc Thanh Wood Processing Joint Stock Company (Stock Code: GTD, HoSE).

Accordingly, Duc Thanh Wood Processing was fined 65 million VND for failing to disclose information within the legally mandated timeframe. Specifically, the company failed to timely disclose on the Ho Chi Minh City Stock Exchange’s (HoSE) electronic information page the following documents: Consolidated Financial Statements for Q4/2023; Official Letter No. 37-24/CBTT-ĐT dated March 27, 2024, notifying changes in the company model and type of financial statements; and Resolution No. 01-25/NQ – ĐT dated January 16, 2025, regarding the issuance of shares under the employee stock option program.

Additionally, the company was fined 137.5 million VND for violating regulations on transactions with shareholders, company managers, and related parties.

According to the audited consolidated financial statements for 2023 and 2024, the Corporate Governance Report for 2023 and 2024, and loan agreements, the company provided loans to shareholders who are also insiders and related parties in 2023 and 2024.

For the aforementioned violations, Duc Thanh Wood Processing was administratively fined a total of 202.5 million VND by the SSC.

Regarding business performance, according to the reviewed consolidated financial statements for the first six months of 2025, Duc Thanh Wood Processing generated net revenue of nearly 141.1 billion VND, a 10.3% decrease compared to the same period in 2024; after-tax profit reached 31.9 billion VND, up 40.5%.

As of June 30, 2025, the company’s total assets slightly decreased by 2.8 billion VND compared to the beginning of the year, to 524.5 billion VND. Of this, investment real estate accounted for 40.7% of total assets, at nearly 213.6 billion VND; inventory stood at over 68.4 billion VND.

On the liabilities side, total payables were over 209.5 billion VND, down 8.7% from the beginning of the year. Of this, loans and financial leases were nearly 148 billion VND, representing 70.6% of total liabilities.

Also as of June 30, 2025, Duc Thanh Wood Processing’s charter capital was nearly 249.6 billion VND, equivalent to approximately 24.96 million shares.
