Sacombank Shareholders Reject Proposed Amendment to Legal Representative Clause in Bank’s Charter

Sacombank (HOSE: STB) has officially announced the resolution of its Annual General Meeting of Shareholders, which decided not to approve amendments or supplements to the bank's charter.

On August 25, 2025, Sacombank conducted a written shareholder vote regarding the adjustment of Clause 2, Article 2 of the Sacombank Charter, which pertains to the legal representative of the bank.

According to the current Charter, “The legal representative of Sacombank is the CEO. The CEO represents Sacombank in exercising rights and obligations arising from the bank’s transactions, acts as the claimant, plaintiff, defendant, or interested party in civil matters before arbitration, courts, and fulfills other rights and obligations as prescribed by law.”

In the board meeting minutes, the Sacombank Board of Directors proposed an amendment stating that the bank would have one legal representative, either the CEO or the Chairman of the Board in case the CEO position is vacant (pending formal appointment of a new CEO).

As of August 18, 2025, the record date for shareholder voting, Sacombank had 66,266 shareholders representing 1.89 billion shares, equivalent to a chartered capital of over VND 18,852 billion.

The bank issued 66,200 written ballots but received only 345 responses, representing 489.9 million voting shares or 25.99% of the total voting shares.

Among these, 338 ballots were valid, accounting for 25.81% of the voting shares. The vote tally showed 16.14% in favor and 9.67% abstaining.

Based on the Sacombank Charter and the vote results, the General Meeting of Shareholders did not approve the amendment to Article 2, Clause 2 of the Sacombank Charter regarding the legal representative.

Consequently, the bank’s Charter approved at the Annual General Meeting of Shareholders on April 26, 2025, remains in effect.

This written shareholder vote took place amid the departure of Ms. Nguyễn Đức Thạch Diễm from her position as CEO and the appointment of Mr. Nguyễn Thanh Nhung as Acting CEO.
