T-Cap Securities Joint Stock Company (Stock Code: TVB, HoSE) has announced a written shareholder consultation from October 3 to 5 PM on October 17, 2025.
Shareholders will provide input on critical matters, including raising foreign investor ownership in TVB to 100%. T-Cap’s Board of Directors stated that increasing foreign ownership will enhance TVB’s stock liquidity, improve capital mobilization, and boost trading efficiency.

Additionally, TVB’s Board proposes issuing shares under the Employee Stock Ownership Plan (ESOP). The planned issuance is up to 5% of the company’s total outstanding shares, priced at 10,000 VND per share.
This initiative aims to recognize employees’ contributions, motivate exceptional performance, and foster long-term commitment to the company.
Proceeds from the issuance will increase the charter capital and support operational needs by bolstering working capital.
Eligible recipients include Board Members, Executive Committee Members, Management Team Members, and company employees.
50% of the issued shares will be restricted from transfer for 6 months, and the remaining 50% for 1 year.
Regarding personnel changes, shareholders will vote on the resignation of Independent Board Member Vu Hoang Son, effective September 30, 2025. A replacement will be elected to complete the 2025-2028 term.
The candidate for the Board is Mr. Le Van Cuong, holding a Master’s in Law and a Bachelor’s in Economics – Banking & Finance. Currently, he serves as Director of Tan Hung Law LLC.
