Sonadezi Chau Duc Fined for Withholding Bond Information, Governance Violations

According to the State Securities Commission of Vietnam (SSC), the SSC Inspectorate has issued Decision No. 315/QĐ-XPHC regarding administrative penalties in the securities and stock market sector against Sonadezi Chau Duc Joint Stock Company (Stock Code: SZC).

Specifically, Sonadezi Chau Duc was fined VND 92.5 million for failing to disclose information on the Private Corporate Bond Information Portal at the Hanoi Stock Exchange (HNX) regarding the Report on the Use of Proceeds from the issuance of bonds with outstanding debt audited by a qualified auditing organization for the years 2022 and 2024.

The company also failed to disclose information within the legally mandated timeframe on the Ho Chi Minh City Stock Exchange (HoSE) and its own website for the Progress Report on the Use of Capital/Proceeds from Offering/Issuance No. 1138.2025/BC-SZC-TCKT dated August 29, 2025. Additionally, on the Private Corporate Bond Information Portal at HNX, it failed to disclose the Report on the Implementation of Commitments to Bondholders for 2022 and the Semi-annual Report on the Use of Proceeds from Bond Issuance with Outstanding Debt Audited by a Qualified Auditing Organization for 2023.

Furthermore, SZC was fined VND 65 million for not fully presenting the content in the Corporate Governance Report from 2023 to the present according to the prescribed template, and for failing to disclose complete meeting documents (Voting Ballots) for three Annual General Meetings of Shareholders in 2023, 2024, and 2025 on its website.

Sonadezi Chau Duc was also fined VND 350 million for changing the capital use plan and proceeds from a public offering of securities without approval from the General Meeting of Shareholders.

The company is required to seek approval from the nearest General Meeting of Shareholders regarding the change in purpose or plan for the use of proceeds from the 2024 public offering of securities, as stipulated in Point b, Clause 8, Article 10 of Decree No. 156/2020/NĐ-CP.
