Alpha Securities JSC recently announced its receipt of Decision No. 361/QĐ-XPHC, dated October 28, 2025, issued by the Chief Inspector of the State Securities Commission regarding administrative penalties for violations.
According to the decision, Alpha Securities committed an administrative violation by failing to fully comply with legal regulations concerning the means and forms of information disclosure.
Specifically, Alpha Securities disclosed information about becoming a major shareholder of VMG Media Corporation (Stock Code: ABC) following the purchase of 667,000 ABC shares on May 28, 2024, on its official website.
Alpha Securities submitted the disclosure to ABC and reported it to the State Securities Commission on May 29, 2024, within the timeframe stipulated in Article 31, Clause 1, of Circular No. 96/2020/TT-BTC dated November 16, 2020, issued by the Ministry of Finance, which governs information disclosure in the securities market.
However, the company failed to submit the disclosure to the Hanoi Stock Exchange (HNX), where ABC shares are traded, on May 29, 2024.
It was not until July 2, 2024, that Alpha Securities submitted the disclosure to HNX, falling short of ensuring full compliance with the reporting and disclosure methods as required under Article 7, Clause 1(c), of Circular No. 96/2020/TT-BTC.
For this violation, Alpha Securities was fined 20 million VND.
According to the disclosure, during the trading session on May 28, 2024, Alpha Securities acquired 667,000 ABC shares, increasing its holdings from 1 million shares (4.9%) to 1.67 million shares (8.18%), thereby becoming a major shareholder of VMG Media Corporation.
In terms of business performance, during Q3/2025, Alpha Securities recorded operating revenue of over 15 billion VND, a 41.6% increase compared to the same period last year, primarily due to the revaluation of financial assets measured at fair value through profit or loss (FVTPL).
Thanks to effective cost control, after-tax profit surged to 3.5 billion VND, compared to just 435 million VND in the same period last year.
In recent developments, Alpha Securities announced the resignation of Ms. Lê Thị Thu Hương as a member of the Board of Directors. In her resignation letter, Ms. Hương cited personal reasons for stepping down effective November 3, 2025.
Proposed Increase in Penalties for Real Estate Business Violations
The Ministry of Construction has proposed hefty fines for real estate businesses failing to meet regulatory requirements, with penalties reaching up to 200 million VND. Additionally, companies engaged in unqualified housing sales could face fines of up to 1 billion VND.
Hoà Bình Securities Under Special Control
The State Securities Commission (SSC) has issued a decision placing Hoang Binh Securities Corporation under special control, halting its margin lending activities. The company’s stocks are also subject to trading restrictions.
