National Securities Falls Short of Acquiring Full 10 Million SAM Shares as Registered

Due to market prices falling short of expectations, National Securities has successfully acquired only over 5.1 million shares of SAM out of the 10 million shares initially registered for purchase.

Recently, National Securities Corporation (NSI) submitted a report to the State Securities Commission (SSC), Ho Chi Minh City Stock Exchange (HoSE), and SAM Holdings (Stock Code: SAM, HoSE) regarding the trading activities of related individuals and insiders.

According to the report, during the trading period from October 22 to November 19, 2025, NSI successfully acquired over 5.1 million shares of SAM out of the 10 million shares initially registered for purchase, equivalent to nearly 51.5%. The transaction was not fully completed due to market prices not meeting expectations.

Following the transaction, NSI’s ownership of SAM shares increased from approximately 6.4 million to over 11.5 million shares, raising its stake from 1.68% to 3.03% of SAM Holdings’ capital.

Based on the closing price of SAM shares on October 22, 2025, at VND 7,200 per share, it is estimated that NSI spent over VND 37 billion to acquire the aforementioned shares.

Previously, during the registered trading period from August 6, 2025, to September 4, 2025, NSI successfully purchased 456,600 SAM shares out of the 5 million shares registered. The transaction was not fully completed due to market prices not meeting expectations.

It is noted that Mr. Tran Viet Anh, Chairman of SAM Holdings’ Board of Directors, is a major shareholder holding over 10% of NSI’s charter capital. Additionally, Mr. Bui Quang Bach, a member of NSI’s Board of Directors, currently serves as an independent member of SAM Holdings’ Board of Directors.

Regarding business performance, in the first nine months of 2025, SAM Holdings recorded net revenue of over VND 4,107.5 billion, a 29.3% increase compared to the same period in 2024; after-tax profit reached over VND 55 billion, a 33.5% decrease.

As of September 30, 2025, SAM Holdings’ total assets increased by 7.3% compared to the beginning of the year, reaching over VND 6,842.8 billion. This includes long-term work-in-progress assets of over VND 1,170.7 billion, accounting for 17.1% of total assets, and long-term financial investments of over VND 2,191.6 billion, accounting for 32% of total assets.

On the liabilities side, total payables stood at nearly VND 2,119.3 billion, a 25% increase compared to the beginning of the year. Of this, loans and finance leases amounted to over VND 1,498 billion, representing 70.7% of total liabilities.
