F88 Investment Joint Stock Company (Stock Code: F88, UPCoM) has announced its plan to issue shares to increase its charter capital from equity surplus.
F88 plans to issue over 101.65 million bonus shares to existing shareholders at a ratio of 1:12, meaning for every 1 share held, shareholders will receive 1 right, and each right entitles them to 12 new shares. The final registration date for rights allocation is January 21, 2026.
The total issuance value, based on the par value, is over 1.0165 trillion VND, sourced from the equity surplus as per the audited 2024 financial report.
Upon successful issuance, F88’s total outstanding shares will increase from 8.47 million to over 110.1 million, raising the charter capital to nearly 1.1013 trillion VND.

As of June 30, 2025, Skydom Pte.Ltd, F88’s largest shareholder, holds nearly 2.59 million shares and is expected to receive approximately 31.06 million bonus shares.
Among leadership, Chairman Phung Tuan Anh holds over 1.02 million shares and is set to receive 12.24 million new shares, while Board Member Ngo Quang Hung, with 920,716 shares, will receive nearly 11.05 million new shares.
Previously, on December 11, 2025, F88 allocated 206,615 shares to 324 employees, with transfer expected in December 2025 or January 2026.
At 10,000 VND per share, the ESOP issuance is projected to raise nearly 2.07 billion VND. Shares are restricted from transfer for 18 months post-issuance, with 66.66% unlocked after 12 months and the remainder after 18 months.
In Q3 2025, F88 reported revenue of 2.172 trillion VND, up 30% year-on-year, with net profit reaching 479 billion VND, 2.6 times higher than the same period last year.
As of Q3 2025, F88’s total assets were nearly 6.28 trillion VND, up 24.7% year-to-date. Liabilities include 2.16 trillion VND in short-term loans and bonds, and 1.288 trillion VND in long-term loans.
