Vinaconex-ITC’s Extraordinary General Meeting of Shareholders 2025 in Hanoi on September 26

On September 26, 2025, Vinaconex-ITC Tourism Investment and Development Joint Stock Company held its Extraordinary General Meeting of Shareholders in Hanoi. The meeting approved the early termination of the 2021–2026 term for the Board of Directors (BOD) and the Board of Supervisors (BOS), while also electing new members to complete the 2025–2030 term.

During the meeting, shareholders voted to remove the following members from the 2021–2026 BOD: Mr. Dương Văn Mậu, Mr. Nguyễn Tuấn Hải, Mr. Lê Văn Huy, Mr. Vũ Đức Thịnh, and Mr. Nguyễn Đắc Trường, along with members of the BOS.

The resignations were attributed to Vinaconex’s completed divestment from Vinaconex-ITC, as well as personal reasons from other members.

The meeting also approved a new organizational structure and elected replacements, formally completing the 2025–2030 BOD and BOS. The new BOD includes: Mr. Trần Văn Chiến as Chairman, Mr. Vũ Nguyên Vũ as BOD Member and CEO, and Mr. Phan Thanh Hải as BOD Member. The new BOS has also been fully established.

With the new leadership, Vinaconex-ITC is expected to enhance operational efficiency, improve business results, and advance key projects, notably the Cát Bà Amatina project—a 170-hectare eco-tourism urban area on Cát Bà Island (Hai Phong) with an initial investment of nearly VND 11,000 billion. This project remains a strategic focus for the company.

Ahead of the meeting, in July and early August 2025, Vinaconex completed the transfer of over 107 million VCR shares, representing 51% of the charter capital, through negotiated transactions.

Following this transaction, Vinaconex-ITC’s shareholder structure underwent significant changes with the addition of four new shareholders: Hanoi Anpha Real Estate Trading Floor LLC, Imperia An Phú LLC, Silver Field International Trading LLC, and Phu Quoc East Zone LLC.

The new shareholders, holding approximately 92.2% of the shares, are expected to collaborate with the company to stabilize operations, strengthen financial capabilities, and support Vinaconex-ITC in effectively implementing its development strategies in the new phase.
