The Latest Twist in the Eximbank Saga: Bamboo Capital-Linked Shareholder Exits, Gelex Seeks Maximum Control

The Vietnam Export Import Joint Stock Commercial Bank (Eximbank - Code: EIB) has released an updated list of its major shareholders, those owning 1% or more of its charter capital, as of August 6, 2024.

According to the latest update, Thang Phuong JSC is no longer among the shareholders owning 1% or more of Eximbank’s capital. Previously, the company held 53.4 million EIB shares, equivalent to 3.07% of the bank’s capital as of July 1.

Under the new regulations, shareholders holding 1% or more of the capital in banks are required to report changes in ownership ratios. Therefore, Thang Phuong JSC has divested most or all of its ownership in Eximbank.

Apart from Thang Phuong JSC, the remaining four shareholders of Eximbank remain unchanged from the previous report. These shareholders include two institutional investors and two individuals.

Specifically, Gelex Group JSC holds 85.5 million shares, equivalent to 4.9% of Eximbank’s charter capital, while VIX Securities JSC owns 62.3 million shares, representing a 3.58% stake in the bank.

The two individual shareholders are Ms. Luong Thi Cam Tu, Vice Chairwoman of Eximbank’s Board of Directors, holding 19.5 million shares or 1.12% of the bank’s charter capital, and Ms. Le Thi Mai Loan, former member of the Board of Directors, owning 17.9 million EIB shares, equivalent to a 1.03% stake.

It is known that Thang Phuong JSC and Ms. Le Thi Mai Loan are associated with Bamboo Capital (BCG) and Mr. Nguyen Ho Nam, Vice Chairman of Eximbank’s Board of Directors.

Ms. Le Thi Mai Loan was a key personnel of Bamboo Capital Group and represented Bamboo Capital’s invested capital in Tracodi Industrial Transport Development Investment JSC (TCD). Additionally, she also served as a member of the Supervisory Board of Bamboo Capital and Vice Chairwoman of BCG Land, a member of the Bamboo Capital group. Ms. Loan resigned from her positions at BCG Land and Tracodi in September 2022.

Regarding Thang Phuong JSC, the company currently has a charter capital of VND 50 billion, comprising three shareholders: Tracodi Labor Export JSC (holding 18% of capital), Ms. Huynh Thi Hong Hanh (holding 57.4%), and Ms. Pham Thi Ngoc Thanh (holding 24.6%).

Among them, Tracodi Labor Export JSC is a subsidiary of Tracodi, a company within Bamboo Capital’s ecosystem. Meanwhile, Ms. Pham Thi Ngoc Thanh is currently the legal representative of Investment and Services Helios, a company co-founded by Mr. Nguyen Ho Nam, Chairman of Bamboo Capital’s Board of Directors.

In another development, the State Bank of Vietnam has granted approval for Gelex to increase its ownership in Eximbank to 10% of the bank’s charter capital. This is the maximum percentage that an institutional investor is allowed to own in a credit institution under the Law on Credit Institutions of 2024.

The approval from the State Bank of Vietnam permits Gelex to purchase Eximbank’s shares through matching and/or agreement transactions on the trading system of the Ho Chi Minh City Stock Exchange during 2024.
