Stockbroking firms set to raise ‘huge’ capital

This year, various companies will propose dividend distribution plans and capital increase options for shareholders' opinions, among which the securities group has ambitious capital expansion plans.

The Board of Directors of Nhất Việt Securities Joint Stock Company (code VFS) has recently approved a plan to issue an additional 120 million shares to existing shareholders, which was passed at the annual general meeting in 2023. This activity is expected to be carried out in 2024, immediately after receiving approval from the State Securities Commission (SSC).


The VFS Board of Directors also approved a plan to use 1,200 billion VND of the raised capital. Accordingly, half of the amount (600 billion VND) will be used to supplement the capital for proprietary trading and the remaining half will be used to supplement the operation of margin lending. Disbursement will take place in 2024, after receiving notification of the results of the public offering by the SSC. The charter capital after the issuance may increase from 1,200 billion VND to 2,400 billion VND.

The securities company is also joining the race to raise capital.

FPT Securities Joint Stock Company (FPTS, code FTS) has just published the documents for its annual general meeting in 2024, scheduled to be held on March 28 in Hanoi. The documents propose a plan to increase the charter capital through issuing new shares to existing shareholders. The expected number of shares to be issued is 85.8 million shares, equivalent to over 858 billion VND (based on par value).

The issuance ratio is 10:4 (shareholders owning 100 shares will receive an additional 40 new shares). The capital source will be the undistributed after-tax profit as of December 31, 2023, stated in the 2023 financial report, which has been audited.

In addition, FPTS also plans to propose an Employee Stock Ownership Plan (ESOP) in 2024 for the company’s management personnel. The expected number of shares to be issued is over 5.5 million shares, with an issuance price equal to the par value of 10,000 VND per share. Both plans are expected to be implemented in the second or third quarter of 2024, after receiving approval from the SSC. If successful, the company’s charter capital will increase from over 2,145 billion VND to 3,059 billion VND.

ACB Securities Limited Liability Company (ACBS) has received approval from the SSC and the Ministry of Finance to increase its charter capital by an additional 3,000 billion VND, bringing it to 7,000 billion VND.

At the end of 2023, SSI Securities Corporation (code SSI) organized a shareholder consultation to approve a plan to issue 453 million shares, including the issuance of 302 million bonus shares at a ratio of 100:20, and the sale of 151 million shares to existing shareholders at a price of 15,000 VND per share, with a ratio of 100:10. If the issuance is successful, SSI’s charter capital is expected to increase to 19,645 billion VND, continuing to lead among securities companies.
